Group Chairman’s Statement

It is my pleasure to present the results of TN CyberTech Investments Holdings Limited for the six months ended 30 June 2026.

This statement is accompanied by the Statements of the Bank Chairman, Group Chief Executive Officer, the Bank Chief Executive Officer, and the Financial Statements for the half year ended 30 June 2026. The Bank Chairman addresses governance and institutional resilience. The Group Chief Executive Officer addresses the business model and strategy. The Bank CEO reports on the execution of the strategies. The Financial Statements contain the numbers.

During the period under review, the company recorded significant growth in revenue and profitability. The Board’s focus remained on ensuring that growth is supported by sound governance, prudent risk management, disciplined capital allocation and the creation of sustainable long-term shareholder value.

Group Performance

Shareholders should note that the current and comparative periods are not entirely comparable following the change in the Group’s financial year-end. The current reporting period covers the six months from 1 January to 30 June 2026, while the comparative period covers the six months from 1 March to 31 August 2025. The accompanying financial statements provide further detail on the related accounting considerations.

The Group recorded profit after tax of ZWG151 million, compared with ZWG109 million in the comparative period, representing an increase of approximately 38%.

Return on equity closed at 18%, while the cost-to-income ratio improved by 7 percentage points from 70% in the comparative period to 63%, supported by revenue growth and continued cost optimization.

Capital Allocation and Dividends

The Board believes that the Group’s growth must ultimately translate into sustainable returns to shareholders.

Accordingly, the Board has adopted a dividend policy targeting dividend cover of two times, representing the distribution of approximately 50% of the group’s consolidated profit after tax, subject to the Group’s capital requirements, regulatory considerations, liquidity position and investment opportunities.

Consistent with this policy, the Company has declared an interim dividend of 0.0667US cents per share for the half year ended 30 June 2026. Details relating to the payment of the dividend are contained in the announcement by the Company Secretary which forms part of the results announcement.

The Board is satisfied that the Group can maintain an appropriate capital base while continuing to invest in opportunities capable of generating long-term value. In particular, after taking into account the approved technology and capital expenditure program for the next 12–18 months, the Group expects to continue funding its investment in technology and its Capital Expenditure requirements substantially from internally generated revenues.

Sustainability and Community

The Group recognizes that its responsibilities extend beyond financial performance.

During the period, the Group donated US$100,000 to Manhinga Village Children’s Home in Rusape to support education, learning facilities and infrastructure development.

We believe that successful businesses should contribute positively to the communities in which they operate while creating sustainable value for their shareholders.

Outlook

The Board remains confident in the Group’s strategic direction.

Our focus in the second half will be to maintain appropriate oversight of the Group’s growth, ensure disciplined deployment of capital and support management in the execution of initiatives capable of strengthening the Group’s competitive position and creating sustainable long-term shareholder value.
